1. Overview and Acceptance

Welcome to Coilie. The terms “Coilie,” “we,” “us,” and “our” refer to Coilie LLC.

Coilie operates coilie.com and its online store (collectively, the “website”). Our store is powered by Shopify, which enables us to operate our website and sell our products.

By visiting, interacting with, purchasing from, or otherwise using our website, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you should not use our website.

You represent that you are at least the age of majority in your jurisdiction of residence or otherwise legally able to enter into these Terms.

2. Products and Product Information

We make reasonable efforts to accurately describe and depict our products. However, colors and appearance may vary depending on your screen, device, settings, lighting, and other factors.

Product descriptions, specifications, dimensions, materials, components, packaging, colors, accessories, and other product details may be updated or modified, particularly for products that are still in development or production.

We reserve the right to modify or discontinue products, limit quantities, or limit sales to particular people, geographic regions, or jurisdictions where permitted by law.

3. Preorders

Certain Coilie products may be offered for preorder before they are manufactured, available for immediate shipment, or ready for delivery.

When you place a preorder, your payment method will be charged at the time the preorder is placed, rather than when the product ships.

We currently estimate that initial preorder fulfillment will begin in February 2027. This is an estimate and not a guaranteed shipping or delivery date. Manufacturing, quality control, supply-chain, regulatory, customs, carrier, or other circumstances may affect the timing of production and fulfillment.

By placing a preorder, you acknowledge that:

• the product is not currently available for immediate shipment;

• you are paying for the product before it is delivered;

• estimated production, fulfillment, and delivery schedules may change; and

• reasonable changes may be made to product specifications, materials, components, packaging, or other details during final production.

You may cancel your preorder for a full refund at any time before your order ships by contacting hello@coilie.com. Once your order has shipped, our standard return policy applies.

If we anticipate a material delay or material change to the product, we will communicate with affected customers using the contact information provided with their orders.

If Coilie determines that it cannot fulfill your preorder, we will cancel the affected order and refund the amount paid for the unfulfilled product, subject to applicable law.

Nothing in this section limits any cancellation, refund, warranty, or other consumer rights that cannot legally be limited.

4. Orders

When you place an order, you are making an offer to purchase from Coilie. We reserve the right to accept or decline an order where permitted by law.

Your order is accepted when we confirm acceptance and successfully process your payment.

Please review your order carefully before submitting it. Preorders may be cancelled before shipment as described above. Returns and refunds after shipment are governed by our Refund Policy.

We may cancel or limit orders where we reasonably believe an order involves fraud, unauthorized resale, inaccurate information, pricing or inventory errors, or misuse of our website or store.

If we cancel an order after payment has been collected, we will refund amounts due in accordance with applicable law.

5. Prices, Taxes and Billing

Prices, promotions, discounts, shipping charges, and other fees may change without notice. The price applicable to your purchase is the price presented at checkout when you place your order.

Unless expressly stated otherwise at checkout, prices may not include applicable taxes, customs duties, import charges, carrier processing charges, or other governmental fees.

For international orders, the treatment of taxes, duties, customs charges, import charges, and other fees varies by destination and shipping method. Any amounts collected by Coilie will be disclosed as part of the price or charges presented at checkout. Additional amounts may be payable upon import or delivery where applicable.

You agree to provide current, complete, and accurate billing, payment, and shipping information and represent that you are authorized to use the payment method submitted with your order.

6. International Orders

Coilie may offer shipping to customers in countries outside the United States, including Canada, the United Kingdom, countries within the European Union, and Australia.

International orders may be subject to taxes, VAT/GST, customs duties, import charges, carrier fees, or other charges depending on the destination and applicable law.

The way these charges are collected may vary. Some amounts may be incorporated into prices or charges at checkout, while others may be collected by a carrier, customs authority, or other party in connection with importation or delivery.

Customers are responsible for providing accurate shipping and contact information and for cooperating with customs authorities or carriers where necessary to complete delivery.

7. Shipping and Delivery

All production, fulfillment, shipping, and delivery dates are estimates unless expressly identified as guaranteed.

For products currently offered for preorder, initial fulfillment is estimated to begin in February 2027.

We are not responsible for delays resulting from circumstances outside our reasonable control, including manufacturing interruptions, supply-chain disruptions, customs processing, carrier delays, severe weather, labor disruptions, governmental actions, or similar events.

Preorder customers will be notified of material changes to anticipated fulfillment schedules.

8. Returns, Cancellations and Refunds

Preorders may be cancelled for a full refund at any time before shipment.

After an order ships, returns, exchanges, and refunds are governed by our Refund Policy.

Nothing in these Terms or our Refund Policy limits any cancellation, refund, warranty, or other consumer right that applicable law requires us to provide.

9. Intellectual Property

The Coilie products, product designs, and website and their related intellectual property—including the Coilie name, logos, trademarks, product names, physical product designs, appearance and configuration, prototypes, drawings, specifications, packaging, photographs, graphics, illustrations, videos, text, audio, and website design—are owned by Coilie LLC or its licensors and may be protected by U.S. and international patent, trademark, copyright, design, trade dress, and other intellectual property laws.

You may use our website and its content for personal, non-commercial purposes only. Purchasing a Coilie product does not grant you any ownership or license rights in Coilie’s intellectual property.

Except as permitted by applicable law or with our prior written consent, you may not reproduce, distribute, modify, create derivative works from, commercially exploit, republish, scrape, or otherwise use our content or intellectual property.

Nothing in these Terms grants you a license or ownership interest in any Coilie intellectual property.

10. Acceptable and Prohibited Uses

You agree not to use our website to engage in unlawful, fraudulent, abusive, or malicious activity; provide false or misleading information; violate the rights of Coilie or any third party; introduce viruses, malware, or harmful code; interfere with the security or operation of the website; scrape, copy, or commercially exploit website content without authorization; unlawfully collect personal information about others; or impersonate another person or entity.

We may restrict or terminate your access to our website if we reasonably determine that you have violated these Terms.

11. Email Communications

If you provide your email address and consent to receive marketing communications, you authorize Coilie to send you product, promotional, and other marketing communications.

You may unsubscribe from marketing emails at any time using the unsubscribe link included in our emails or by contacting hello@coilie.com.

Transactional communications relating to an order, preorder, shipping, product safety, or customer service may still be sent when necessary.

12. Electronic Communications

By using our website, placing an order, or otherwise providing your contact information to us, you consent to receive communications from us electronically, including receipts, order confirmations, notices, disclosures, and other communications related to your account, orders, or use of our website. These communications satisfy any legal requirement that such communications be in writing. You may withdraw this consent for marketing communications at any time as described in Section 11; transactional communications (such as order or shipping notices) may still be sent electronically as necessary to service your order.

13. Third-Party Services and Links

Our website and store may use or link to third-party services, including Shopify, payment processors, shipping providers, social-media platforms, analytics providers, Kickstarter, and other service providers.

We do not control third-party services and are not responsible for their independent content, products, privacy practices, availability, or terms.

Your use of third-party services may be governed by their respective terms and privacy policies.

14. Relationship with Shopify

Coilie is powered by Shopify, which provides the ecommerce platform we use to operate our store. However, purchases made through our store are transactions directly between you and Coilie.

Shopify is not the seller of Coilie products and is not responsible for Coilie products or transactions between you and Coilie.

15. Privacy

Personal information collected through our website and store is handled in accordance with our Privacy Policy.

Because our online store is hosted by Shopify, certain information is also processed by Shopify and other service providers as necessary to operate our store, process transactions, fulfill orders, and provide related functions.

16. Feedback, Reviews and User Submissions

If you voluntarily provide feedback, ideas, suggestions, reviews, photographs, comments, or other submissions regarding Coilie or our products, you grant Coilie a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, and distribute that material for purposes related to operating, improving, and promoting our business and products.

You represent that you have the necessary rights to materials you submit and that your submission does not violate applicable law or third-party rights.

17. Errors, Inaccuracies and Omissions

Information on our website or store may occasionally contain errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping charges, transit times, or other information.

We reserve the right to correct errors and update information. Where an error affects an order already placed, we will handle the order and any applicable refund in accordance with applicable law.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE, ONLINE STORE,  AND GOODS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT WARRANT THAT OUR WEBSITE AND ONLINE STORE WILL ALWAYS BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

ANY WARRANTIES APPLICABLE TO COILIE PRODUCTS WILL BE SUBJECT TO THE TERMS PROVIDED WITH THE PRODUCT AND RIGHTS PROVIDED UNDER APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS WARRANTIES OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COILIE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM  OR RELATING TO YOUR USE OF OUR WEBSITE, STORE, OR PRODUCTS.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Coilie LLC and its members, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, or reasonable legal expenses arising from your unlawful misuse of our website or store, violation of these Terms, or violation of another person's rights.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary, without affecting the validity of the remaining provisions.

22. Waiver and Entire Agreement

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

These Terms, together with policies incorporated by reference, constitute the agreement governing your use of our website and store and your purchases from Coilie, except where additional terms expressly apply.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Coilie may assign its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or other lawful business transaction.

24. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Subject to rights that cannot be waived under applicable consumer law, disputes arising from these Terms, your use of our website or store, or your purchases from Coilie, will be subject to the state or federal courts located in Miami-Dade County, Florida, and the parties consent to jurisdiction in those courts.

For customers outside the United States, nothing in this section deprives you of mandatory consumer protections or jurisdictional rights provided by applicable law.

25. Changes to These Terms

We may update these Terms from time to time by posting a revised version on our website.

Material changes will become effective as stated in the applicable notice or as otherwise permitted by law.
